I – 44 SPEEDWAY

CONCRETE PAD RENTAL AGREEMENT

FOR AND IN CONSIDERATION of the payment of $100.00 and the promise to follow all rules and regulations of Berkley Racing, L.L.C., an Oklahoma Limited Liability Company (“I-44 SPEEDWAY”), I-44 SPEEDWAY hereby rents to _________________________ (“Lessee”) a reserved Concrete Pad for the 2010 race season. The Pad may not be assigned by Lessee or used by any firm, person or entity other than Lessee without the prior written permission of I - 44 SPEEDWAY If Lessee does not utilize the Pad at least once in each calendar month of the 2010 race season or if Lessee violates any rule or regulation of I - 44 SPEEDWAY, then     I - 44 SPEEDWAY may terminate this Rental Agreement without refund or apportionment of rental payment to Lessee and Lessee’s right to use the Pad shall immediately cease.If Lessee complies with all rules and regulations of I - 44 SPEEDWAY and utilizes the Pad at least once per calendar month during the 2010 race season, then Lessee shall have an automatic right to renew this Rental Agreement for a one (1) year period so long as the 2011 race season rent payment in the amount of $100.00 is received by I – 44 Speedway no later than Jan. 15, 2011.  If payment for the 2011 race season is not received by I – 44 Speedway by March20, 2011, then I – 44 Speedway may rent the Pad to whomever it wishes without obligation to Lessee.
